On Monday, BHP confirmed that it had engaged in initial discussions with Anglo but has now decided against pursuing a merger and will focus on its current portfolio. This announcement came after a Bloomberg News report revealed BHP’s recent overture, following a failed attempt to acquire Anglo last year. According to insiders, Anglo rejected BHP’s new bid after determining it was not advantageous compared to their merger with Teck. The discussions were confidential, hence the request for anonymity. The renewed interest from BHP highlights the competitive pressures within the mining sector, especially in copper, where supply is diminishing amid rising demand due to global electrification. Quality copper mining assets are becoming harder to find, and their valuations are typically higher than those of larger, diversified mining companies. With Anglo and Teck’s shareholders scheduled to vote on their merger worth over $60 billion in the coming weeks, BHP’s attempt further distances these highly sought-after, copper-rich entities from potential acquisition. On Monday, BHP shares initially rose by 1.3% in Sydney before settling to a 0.6% gain as the market reacted to the news of the aborted bid. BHP’s initial proposal had called for a partial breakup of Anglo, while the latest strategy was more straightforward, benefiting from Anglo’s exit from its South African platinum operations, thereby making a merger more feasible. However, since the last approach, BHP’s shares have dropped in Australian markets, contrasting with an 11% increase in Anglo’s shares in London, as investors appeared to favor the deal with Teck. Glyn Lawcock, head of metals and mining at Barrenjoey Markets Pty Ltd, suggested that BHP may have seen a fleeting opportunity to get involved. However, he emphasized that BHP now needs to concentrate on its significant investments, which represent its largest growth initiatives in years, including projects at the Escondida copper mine in Chile and in Argentina and South Australia. In its statement, BHP continued to assert that a merger with Anglo would have offered strong strategic advantages and created substantial shareholder value. Nonetheless, the company expressed confidence in the potential of its organic growth strategy without disclosing specific details of its proposal to Anglo’s board. Mining investors remain cautious about complex deals following the excesses of previous market cycles, so they might not mourn the loss of a costly acquisition that would have likely granted Anglo an even larger stake in the combined business. Still, the market was taken by surprise on Monday, placing BHP in a position to clarify its strategic direction to shareholders, especially after CEO Mike Henry emphasized the company’s commitment to its existing assets since the last takeover attempt. Dylan Kelly, head of research at Terra Capital, which holds BHP stock, noted the many questions surrounding the implications for BHP’s strategy. Advisors for BHP in this recent approach included Lazard Inc., UBS Group AG, and Barclays Plc. Anglo opted not to comment. Shareholders from Teck and Anglo are set to vote on the merger on December 9, pending regulatory approval from countries, including China, the US, and Canada.

(Bloomberg) — BHP Group has withdrawn its recent takeover proposal for Anglo American Plc, marking a brief and unexpected effort by the world’s largest mining company to challenge a planned merger between its smaller competitor and Canada’s Teck Resources Ltd.
